Terms of Service
These Terms of Service ("Terms") are a legal agreement between you and BOT-HOLDINGS, LLC ("Grove Network," "we," "us," or "our") governing your use of the Grove Network website and mobile app (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
Grove Network is a professional-networking and referral platform for local business communities. You must be at least 18 years old and able to form a binding contract to use the Service. The Service is not directed at, and may not be used by, anyone under 13.
2. Your account
You must provide accurate information when creating your account and keep your login credentials confidential. You are responsible for all activity that happens under your account. Let us know immediately at dev@codedatda.casa if you suspect unauthorized access to your account.
3. Groves, Needs, Introductions, Referrals, and Vouches
Grove Network organizes members into local chapters called "Groves." Within a Grove, you may post "Needs" describing something you're looking for help with, log 1-1s and Introductions with other members, send and track Referrals (including referrals to people who are not Grove Network members), and give or receive "Vouches" endorsing another member. Referral activity may count toward an in-app referral rewards program; the specific criteria for earning and redeeming rewards are described within the Service and may change from time to time.
Grove Network facilitates introductions between businesses and professionals but does not guarantee the outcome, quality, or value of any Need, Introduction, Referral, Vouch, or business relationship formed through the Service. You are solely responsible for your interactions and business dealings with other members and with anyone you refer or are referred to.
4. Content you submit
You are responsible for the content you post — including your profile, Needs, notes, Vouches, and any information you enter about a third party in connection with a referral. By submitting content, you confirm it is accurate to your knowledge and that you have the right to share it, including having permission to share another person's contact information when you submit a referral about them.
You agree not to use the Service to:
- Post false, misleading, harassing, discriminatory, or abusive content.
- Impersonate another person or misrepresent your affiliation with a business.
- Submit another person's personal information without their permission.
- Use the Service for unsolicited advertising or spam unrelated to legitimate referral activity.
- Attempt to interfere with, disrupt, or gain unauthorized access to the Service or other members' accounts.
There is no tolerance for objectionable content or abusive members. You can report a member or a piece of content with the Report control shown on matches, Needs, Vouches and Introductions, and you can block a member so that neither of you can vouch for, introduce or connect with the other. Reports are reviewed by Grove Network moderators, and we aim to review them within 24 hours. We may remove content or suspend accounts, at our discretion, for violations of these Terms; a suspended member is signed out and cannot sign in. To appeal, email dev@codedatda.casa.
5. Membership & billing
Certain features of Grove Network require a paid membership. Membership plans, pricing, and any trial period are shown in the Service before you subscribe. Payments, subscription renewals, and cancellations are handled by Stripe through Stripe Checkout and the Stripe Customer Portal, accessible from Settings. Unless stated otherwise at checkout, subscriptions renew automatically at the end of each billing period until you cancel through the Customer Portal. Fees are billed in advance and, except where required by law, are non-refundable.
6. Third-party services
Some features rely on third-party services: Stripe for payments, and optionally Google Calendar/Meet if you connect your Google account for event scheduling, and other meeting providers (such as Zoom or Microsoft Teams) that a Grove organizer may link to when creating an event. Your use of those third-party services is also subject to their own terms and privacy policies.
7. Account suspension & termination
We may suspend or terminate your account if you violate these Terms, misuse the Service, or if we are required to do so by law. You may stop using the Service at any time; to request deletion of your account and data, see our Privacy Policy.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY BUSINESS OUTCOME, REFERRAL, OR INTRODUCTION MADE THROUGH THE SERVICE WILL BE SUCCESSFUL OR PROFITABLE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOT-HOLDINGS, LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR ANY BUSINESS DEALING WITH ANOTHER MEMBER OR REFERRED CONTACT. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.
10. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the effective date above and, where appropriate, notify you through the app. Continuing to use the Service after changes take effect means you accept the updated Terms.
11. Governing law
These Terms are governed by the laws applicable to BOT-HOLDINGS, LLC's jurisdiction of formation, without regard to conflict-of-law principles, except where applicable consumer-protection law requires otherwise.
